IMPORTANT NOTICE: PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE ACCESSING OR USING THE DEALSGRID PLATFORM. BY ACCESSING OR USING THIS WEBSITE, YOU AGREE TO BE BOUND BY THESE TERMS IN THEIR ENTIRETY. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY CEASE USING THE PLATFORM. THESE TERMS CONTAIN IMPORTANT PROVISIONS INCLUDING A LIMITATION OF LIABILITY CLAUSE AND A GOVERNING LAW CLAUSE.
1. Definitions
For the purposes of these Terms of Use, the following definitions shall apply:
"Platform" or "Website" means the website accessible at https://dealsgrid.ai, including all subdomains, related mobile applications, and any associated services operated by DealsGrid LLC.
"Company," "we," "us," or "our" means DealsGrid LLC, a limited liability company incorporated under the laws of the State of Wyoming, United States, with its registered address at [REGISTERED ADDRESS PLACEHOLDER], Wyoming, United States.
"User," "you," or "your" means any individual or entity who accesses, registers on, or uses the Platform in any capacity.
"Buyer" means a User who accesses the Platform for the purpose of searching for, viewing, or inquiring about property listings.
"Agent" means a licensed real estate agent, broker, or agency that registers on the Platform through agents.dealsgrid.ai for the purpose of listing properties and receiving leads.
"Developer" means a real estate development company or project developer that registers on the Platform through developers.dealsgrid.ai for the purpose of listing new development projects and receiving leads.
"Listing" means any property advertisement, description, image, pricing information, or related content submitted to or displayed on the Platform.
"Lead" means any inquiry, contact request, or expression of interest submitted by a Buyer in connection with a specific Listing, including the Buyer's name, email address, phone number, and any other contact information provided.
"Personal Data" means any information relating to an identified or identifiable natural person, as further defined in our Privacy Policy.
"Content" means any text, images, photographs, videos, data, information, or other material submitted to, displayed on, or transmitted through the Platform.
"Services" means all features, functionalities, tools, and services provided by the Platform, including property search, listing management, lead management, user accounts, and notifications.
"Third-Party Sources" means external websites, databases, or platforms from which property data may be aggregated and displayed on the Platform.
2. About the Platform
2.1 Nature of Service
DealsGrid is an online real estate marketplace and information aggregation platform that enables property Listings to be published and discovered by prospective Buyers. The Platform operates exclusively in connection with residential property for sale in the Kingdom of Thailand. The Company is not a licensed real estate agency, broker, or auctioneer in Thailand or any other jurisdiction, and does not act as a principal, agent, or intermediary in any property transaction.
2.2 Role of the Company
The Company provides a technology platform and marketplace infrastructure. The Company:
Does not own, sell, lease, or otherwise deal in any property listed on the Platform;
Does not represent, warrant, or guarantee the accuracy, completeness, or availability of any Listing;
Does not participate in, facilitate, or supervise negotiations between Buyers and Agents or Developers;
Does not provide legal, financial, investment, or tax advice in connection with any property transaction;
May, at its sole discretion, assist with Lead qualification by contacting Buyers via WhatsApp, email, or other means to verify the accuracy of contact details submitted through the Platform. Such qualification activity is administrative in nature and does not constitute representation of any party to a transaction.
2.3 Third-Party Listings
The Platform may display Listings sourced from Third-Party Sources, including but not limited to publicly available property databases and listings published by registered Agents and Developers. The Company does not independently verify the accuracy of such Listings. All Listings are published in reliance on information provided by Agents, Developers, or Third-Party Sources. Users are solely responsible for conducting their own due diligence prior to entering into any transaction.
2.4 Languages and Jurisdictions
The Platform is available in English, Russian, German, and Thai. The English version of these Terms of Use shall be the authoritative and legally binding version. Versions in other languages are provided for convenience only and do not create any additional rights or obligations. In the event of any conflict or inconsistency between the English version and any translated version, the English version shall prevail.
2.5 Editorial Content: Blog, Guides, and Market Insights
The Platform publishes editorial content, including blog articles, property buying guides, investment overviews, legal summaries, and market analysis (collectively, "Editorial Content"). All Editorial Content is produced by or on behalf of the Company for informational and search optimisation purposes and is intended to assist Users in understanding the Thai property market in general terms.
Users acknowledge and agree that:
All Editorial Content is provided for general informational purposes only and does not constitute legal, financial, investment, tax, or real estate advice of any kind;
Editorial Content reflects information available at the time of original publication and may not be updated to reflect subsequent changes in law, regulation, market conditions, or property availability;
The Company does not warrant the accuracy, completeness, or current relevance of any Editorial Content;
The publication or continued availability of any Editorial Content on the Platform does not constitute a representation that the information contained therein remains accurate or applicable at the time of reading;
Users should independently verify any information obtained from Editorial Content before relying upon it for the purpose of any property transaction or investment decision;
The Company expressly disclaims all liability for any loss or damage arising from reliance on Editorial Content, including content that has become outdated, inaccurate, or incomplete after its date of publication.
3. Acceptance of Terms
3.1 Agreement
By accessing the Platform, creating an account, submitting a Lead inquiry, or otherwise using any feature of the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use and the Company's Privacy Policy, which is incorporated herein by reference. If you are using the Platform on behalf of a legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.
3.2 Modifications
The Company reserves the right to modify, amend, or update these Terms of Use at any time at its sole discretion. Changes will be effective upon posting of the revised Terms on the Platform, with the "Last Updated" date reflecting the date of the most recent revision. It is your responsibility to review these Terms periodically. Your continued use of the Platform following the posting of changes constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must cease using the Platform.
3.3 Minimum Age
The Platform is intended for use by individuals who are at least 18 years of age. By using the Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into binding contracts under the laws of your jurisdiction. The Company does not knowingly collect personal data from individuals under the age of 18.
Users who are residents of Thailand: Under Thai law, the age of majority is 20 years. If you are a resident of Thailand and are under the age of 20 but at least 18 years of age, you represent and warrant that you have obtained the consent of your parent or legal guardian before using the Platform. The Company does not knowingly collect personal data from Thai residents under the age of 20 without verifiable parental or guardian consent.
4. User Accounts
4.1 Registration
Certain features of the Platform require registration of a User account. When registering, you agree to provide accurate, current, and complete information. You are responsible for maintaining the accuracy of your account information and must promptly update it if it changes.
4.2 Third-Party Authentication (Social Login)
The Platform supports account registration and login via third-party authentication providers, currently including Google (Google LLC) and Facebook (Meta Platforms, Inc.), facilitated through the Auth0 identity platform (Okta, Inc.). If you choose to register or log in using a third-party authentication provider, you authorise the Company to access and store the basic profile information provided by that service, which may include your name, email address, and profile picture.
By using third-party authentication, you acknowledge that:
Your use of the third-party authentication service is subject to that provider's terms of service and privacy policy, including Google's Terms of Service (https://policies.google.com/terms) and Meta's Terms of Service (https://www.facebook.com/terms.php);
The Company receives only the profile information necessary to create and manage your account and does not receive your third-party account password;
You may disconnect a third-party authentication provider from your account at any time through your account settings, provided that you have an alternative login method configured;
The Company is not responsible for any data breach, account compromise, or service disruption arising from your use of a third-party authentication provider.
4.3 Account Security
You are solely responsible for maintaining the confidentiality of your account credentials, including your password. You agree to immediately notify the Company of any unauthorized use of your account or any other security breach at legal@dealsgrid.ai. The Company shall not be liable for any loss or damage arising from your failure to protect your account credentials.
4.4 Buyer Account Features
Registered Buyer accounts provide access to the following features:
Saving and managing a list of favorite Listings;
Viewing a history of previously viewed Listings;
Tracking the status of submitted Lead inquiries and the Listings to which they relate;
Configuring notification preferences for new Listings matching saved search criteria;
Managing personal profile and communication preferences.
4.5 Account Termination by User
You may request deletion of your account at any time by contacting legal@dealsgrid.ai. Upon account deletion, the Company will process your data in accordance with its Privacy Policy and applicable law.
4.6 Account Suspension by Company
The Company reserves the right to suspend, restrict, or permanently terminate your account at any time, with or without notice, if the Company determines, in its sole discretion, that you have violated these Terms of Use, engaged in fraudulent or illegal activity, or otherwise acted in a manner detrimental to the Platform, its Users, or third parties. Upon termination, your right to access the Platform ceases immediately.
4.7 Property Alert Subscriptions
Registered Users may subscribe to property alert notifications by saving one or more search filters on the Platform. By subscribing to property alerts, you:
Consent to receive automated notifications via email, push notification, or other channels you have enabled, informing you of new or updated Listings that match your saved search criteria;
Acknowledge that property alert notifications are generated automatically based on the filter parameters you have set and do not constitute a personalised recommendation or advice;
Acknowledge that the Company does not guarantee the completeness or timeliness of property alert notifications, and that Listings matching your criteria may be published or modified without triggering a notification in all cases;
Acknowledge that property availability, pricing, and details may change between the time a notification is sent and the time you access the relevant Listing;
You may manage, modify, or cancel your property alert subscriptions at any time through your account settings. Cancellation of property alerts does not affect other marketing communications you may have consented to receive. If you delete your account, all active property alert subscriptions will be cancelled automatically.
5. Buyer Terms and Conditions
5.1 Property Search and Listings
The Platform enables Buyers to search, filter, and browse Listings of residential property for sale in Thailand. All Listings are provided for informational purposes only. The availability, pricing, and details of any property may change without notice. The Company does not guarantee that any property displayed on the Platform is available for purchase at the time you view it or submit an inquiry.
5.2 Submitting Lead Inquiries
When you submit a Lead inquiry in connection with a Listing, you:
Provide your name, email address, telephone number, and any additional information entered in the inquiry form;
Acknowledge and consent to the transfer of your contact information to the Agent or Developer responsible for that Listing, for the purpose of responding to your inquiry;
Acknowledge that the Agent or Developer may contact you directly via telephone, email, WhatsApp, or other messaging platforms to respond to your inquiry;
Acknowledge that the Company may contact you for the purpose of verifying your contact details or qualifying your inquiry, as described in Section 2.2;
Acknowledge and consent to receive property-related communications from the Company, including guides, market reports, property recommendations, and promotional materials. You may withdraw this consent at any time by following the unsubscribe instructions in any such communication or by contacting privacy@dealsgrid.ai.
5.3 Buyer Responsibilities
As a Buyer, you are solely responsible for:
Conducting your own independent due diligence on any property, including but not limited to verifying title, ownership, permitted use, encumbrances, and compliance with Thai law;
Engaging qualified legal, financial, and real estate professionals before entering into any property transaction;
Verifying the identity and credentials of any Agent or Developer with whom you engage through the Platform;
Ensuring that any transaction complies with applicable Thai law, including laws regarding foreign ownership of property.
5.4 No Investment Advice
Any return on investment (ROI) estimates, yield projections, or investment-related information displayed on the Platform are provided by Agents or Developers and are not verified by the Company. Such information does not constitute financial or investment advice. Past performance is not indicative of future results. You should seek independent financial advice before making any investment decision.
6. Agents and Developers
6.1 Separate Agreement
Agents and Developers access and use the Platform subject to a separate Agent Agreement or Developer Agreement, as applicable, which governs the terms of Listing publication, Lead management, data handling, and commercial arrangements. These Terms of Use apply to Agents and Developers to the extent not superseded by the relevant Agreement. In the event of conflict, the Agent Agreement or Developer Agreement shall prevail.
6.2 Agent and Developer Registration
Access to the Agent portal at agents.dealsgrid.ai and the Developer portal at developers.dealsgrid.ai is subject to approval by the Company. The Company reserves the right to accept or reject any registration application at its sole discretion, without being required to provide reasons for any rejection.
6.3 Responsibility for Listings
Agents and Developers are solely and exclusively responsible for the accuracy, completeness, legality, and currency of all Listings they publish on the Platform. The Company assumes no liability for any inaccurate, misleading, outdated, or fraudulent Listing content published by an Agent or Developer.
7. Content and Intellectual Property
7.1 Company Intellectual Property
All content on the Platform that is created or owned by the Company, including but not limited to the DealsGrid name and logo, website design, layout, graphics, software, databases, and compilations of data, is the exclusive intellectual property of DealsGrid LLC and is protected by applicable copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any license or right to use any Company intellectual property without prior written consent.
7.2 User-Generated Content
By submitting any Content to the Platform, including inquiry messages and account information, you grant the Company a non-exclusive, worldwide, royalty-free license to use, process, store, and display such Content solely for the purpose of operating and improving the Platform.
7.3 Third-Party Content
The Platform may display property images, descriptions, and other content sourced from Third-Party Sources. The Company does not claim ownership of such content and endeavours to use it only in compliance with applicable terms of use of those sources. If you believe that content displayed on the Platform infringes your intellectual property rights, please refer to Section 9 (DMCA Policy) below.
7.4 Prohibited Use of Platform Content
You may not copy, reproduce, scrape, harvest, aggregate, redistribute, sell, or commercially exploit any content, data, or materials from the Platform without the prior written consent of the Company. Systematic extraction of data from the Platform by automated means, including web scraping, data mining, or use of bots, is strictly prohibited.
8. Prohibited Conduct
You agree not to use the Platform for any of the following purposes:
Submitting false, misleading, or fraudulent inquiries or account information;
Impersonating any person or entity, or falsely stating or misrepresenting your affiliation with any person or entity;
Publishing, submitting, or transmitting any Content that is unlawful, defamatory, abusive, threatening, obscene, or otherwise objectionable;
Using the Platform to conduct or facilitate any illegal activity, including fraud, money laundering, or any activity that violates Thai law, US law, or the laws of your jurisdiction;
Interfering with or disrupting the integrity or performance of the Platform or its underlying infrastructure;
Attempting to gain unauthorized access to any account, system, or network associated with the Platform;
Using automated tools, bots, scrapers, or similar mechanisms to access, monitor, or extract data from the Platform;
Transmitting any malicious code, viruses, or other harmful software through the Platform;
Using the Platform to send unsolicited commercial communications (spam) to other Users;
Circumventing or attempting to circumvent any security or access-control features of the Platform;
Uploading, submitting, or transmitting any false or forged computer data, in whole or in part, in a manner likely to cause damage to any third party or the public;
Uploading, submitting, or transmitting any computer data in a manner likely to damage national security, cause public panic, or otherwise violate the laws of the Kingdom of Thailand, including the Computer Crime Act B.E. 2550 (2007) and its amendments;
Uploading, submitting, or transmitting any computer data of a pornographic nature that is publicly accessible, or disseminating or forwarding any data that you know or reasonably believe to be false, threatening to national security, or pornographic in nature;
Using the Platform for gambling, prostitution, human trafficking, or any other activity that is prohibited under the laws of the Kingdom of Thailand or any other applicable jurisdiction;
Collecting, storing, or using the personal data of other Users without their consent or for any purpose other than that for which it was provided, including using such data for unsolicited marketing or to contact other Users outside the Platform without their express permission.
9. Complaint and Content Moderation Policy
9.1 Reporting Inaccurate or Fraudulent Listings
The Platform provides a complaint reporting feature accessible on each Listing page. Any User who believes that a Listing contains false, misleading, or fraudulent information may submit a complaint by using this feature. Upon receipt of a complaint, the Company will:
Review the complaint and the relevant Listing within a reasonable timeframe;
Contact the Agent or Developer responsible for the Listing to request clarification or correction;
Suspend the Listing pending investigation if the complaint discloses a reasonable basis for concern;
Permanently remove the Listing and suspend or terminate the Agent's or Developer's account if the complaint is substantiated and reveals deliberate fraud or material misrepresentation;
Restore access if the investigation concludes that the complaint was unfounded.
9.2 No Guarantee of Verification
The Company does not guarantee the accuracy or authenticity of any Listing, and the availability of a complaint mechanism does not imply that Listings are pre-verified or endorsed by the Company. Users are advised to conduct their own due diligence regardless of whether a complaint has been filed against a Listing.
10. DMCA and Intellectual Property Complaints
10.1 Notification of Claimed Infringement
If you believe that any content displayed on the Platform infringes your copyright or other intellectual property rights, please send a written notice to dmca@dealsgrid.ai containing the following information:
A description of the copyrighted work or other intellectual property that you claim has been infringed;
A description of the material on the Platform that you claim is infringing, with sufficient detail to enable the Company to locate it (including the URL);
Your contact information, including your name, address, telephone number, and email address;
A statement by you that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
A statement by you, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or are authorized to act on behalf of the copyright owner;
Your physical or electronic signature.
10.2 Response
Upon receipt of a valid notice, the Company will promptly investigate and, where appropriate, remove or disable access to the allegedly infringing content. The Company reserves the right to terminate the accounts of repeat infringers.
11. Privacy and Data
11.1 Privacy Policy
The collection, use, and processing of personal data by the Company is governed by the Company's Privacy Policy, available at https://dealsgrid.ai/privacy-policy. The Privacy Policy is incorporated into these Terms by reference and forms part of the agreement between you and the Company.
11.2 Data Collected
When you register on the Platform or submit a Lead inquiry, the Company collects personal data including but not limited to your name, email address, telephone number, messenger handles, browsing behaviour on the Platform, and device and technical data. This data is used to operate the Platform, respond to inquiries, provide notifications, send marketing communications (subject to your consent), and improve the Platform's services.
11.3 Transfer of Data to Agents and Developers
By submitting a Lead inquiry, you explicitly consent to the transfer of your contact information to the Agent or Developer responsible for the relevant Listing. The Company is not responsible for how Agents or Developers use your data following such transfer. You are advised to review the privacy policies of any Agent or Developer with whom you engage.
11.4 Marketing Communications
By registering on the Platform, you consent to receive marketing communications from the Company, including property guides, market reports, property recommendations, and promotional materials. You may withdraw your consent at any time by clicking the unsubscribe link in any communication or by contacting privacy@dealsgrid.ai. Withdrawal of consent does not affect the lawfulness of processing carried out prior to withdrawal.
11.5 Analytics
The Platform uses Google Analytics to collect aggregated and anonymized data about user behaviour on the Platform. By using the Platform, you consent to the processing of your data by Google Analytics in accordance with Google's privacy policy. You may opt out of Google Analytics tracking by installing the Google Analytics Opt-out Browser Add-on.
11.6 GDPR and International Users
Where applicable, Users who are residents of the European Union or European Economic Area (including German-speaking Users) have additional rights under the General Data Protection Regulation (EU) 2016/679, including the right to access, rectify, erase, and port their personal data. For enquiries regarding your data rights, please contact privacy@dealsgrid.ai.
12. Disclaimers
12.1 Platform Provided "As Is"
THE PLATFORM AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.
12.2 No Warranty as to Listings
THE COMPANY MAKES NO REPRESENTATION OR WARRANTY, EXPRESS OR IMPLIED, AS TO THE ACCURACY, COMPLETENESS, CURRENCY, LEGALITY, OR AVAILABILITY OF ANY LISTING DISPLAYED ON THE PLATFORM. LISTING INFORMATION IS PROVIDED BY AGENTS, DEVELOPERS, OR THIRD-PARTY SOURCES AND HAS NOT BEEN INDEPENDENTLY VERIFIED BY THE COMPANY. USERS RELY ON LISTING INFORMATION ENTIRELY AT THEIR OWN RISK.
12.3 No Property Transaction Warranty
The Company does not guarantee that any Buyer will successfully complete a property purchase, that any Agent or Developer will respond to a Lead inquiry, or that any property transaction facilitated through the Platform will proceed to completion.
13. Limitation of Liability
13.1 Exclusion of Consequential Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DEALSGRID LLC, ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, PERSONAL INJURY, OR PROPERTY DAMAGE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM OR ANY LISTING, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
13.2 Cap on Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY'S TOTAL CUMULATIVE LIABILITY TO YOU ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD $100).
13.3 Basis of the Bargain
You acknowledge that the limitations of liability set forth in this Section reflect a reasonable allocation of risk and form an essential basis of the bargain between you and the Company. The Company would not provide the Platform on the terms set forth herein without these limitations.
14. Indemnification
You agree to indemnify, defend, and hold harmless DealsGrid LLC, its members, managers, employees, contractors, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your access to or use of the Platform; (b) your violation of these Terms of Use; (c) your violation of any applicable law or regulation; (d) any Content you submit to the Platform; or (e) any dispute between you and any Agent, Developer, or third party.
15. Governing Law and Dispute Resolution
15.1 Governing Law
These Terms of Use and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles.
15.2 Jurisdiction
You agree that any legal action or proceeding arising out of or in connection with these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of the State of Wyoming, United States. You hereby irrevocably submit to the personal jurisdiction of such courts and waive any objection to venue in such courts.
15.3 Informal Resolution
Before initiating any formal legal proceedings, you agree to first contact the Company at legal@dealsgrid.ai and attempt to resolve the dispute informally. The parties agree to negotiate in good faith for a period of not less than thirty (30) days before commencing any formal proceedings.
16. AI-Powered Search and Assistant Features
16.1 Nature of AI Features
The Platform may incorporate artificial intelligence and large language model (LLM) features (collectively, "AI Features") designed to assist Users in searching for properties, comparing Listings, obtaining general information about the Thai property market, and interacting with Platform content through natural language queries. AI Features may be powered by third-party AI providers, including but not limited to OpenAI (ChatGPT), Google (Gemini), Anthropic (Claude), and other LLM providers (each, an "AI Provider"). The identity of the AI Provider powering any specific feature may change over time at the Company's sole discretion.
16.2 Limitations of AI Features
AI Features are provided for convenience and informational purposes only. Users acknowledge and agree that:
AI-generated responses, recommendations, property comparisons, and summaries are produced automatically and may contain errors, inaccuracies, hallucinations, or outdated information;
AI Features do not constitute legal, financial, investment, tax, or real estate advice of any kind;
AI Features do not have real-time access to property availability, pricing, or market data unless explicitly integrated with live Platform data, and responses may not reflect the current state of any Listing;
The Company does not verify, endorse, or guarantee the accuracy of any output generated by AI Features;
AI-generated content should not be the sole or primary basis for any property transaction, investment decision, or legal action;
Users should independently verify all information provided by AI Features before relying upon it.
16.3 No Professional Advice
AI Features are not a substitute for qualified professional advice. The Company strongly recommends that Users consult licensed real estate agents, legal counsel, and financial advisors before entering into any property transaction in Thailand, regardless of any information or recommendation provided by AI Features on the Platform.
16.4 Data Processing by AI Providers
By using AI Features on the Platform, you acknowledge that your queries, inputs, and interaction data may be transmitted to and processed by one or more third-party AI Providers in order to generate responses. Such processing is subject to the privacy policies and terms of service of the applicable AI Provider, which may include OpenAI's Privacy Policy (https://openai.com/privacy), Google's Privacy Policy (https://policies.google.com/privacy), and Anthropic's Privacy Policy (https://www.anthropic.com/privacy), as updated from time to time. The Company is not responsible for the data processing practices of AI Providers. Users are advised not to submit sensitive personal data, financial information, or confidential information through AI Features.
16.5 Prohibited Use of AI Features
Users must not:
Attempt to manipulate, bypass, or circumvent the intended operation of AI Features through prompt injection, jailbreaking, adversarial inputs, or any other technique designed to cause the AI to generate harmful, misleading, or policy-violating content;
Use AI Features to generate, distribute, or publish false or misleading property information;
Use AI Features in any manner that violates applicable law or these Terms of Use;
Systematically extract or harvest AI-generated content from the Platform for commercial purposes without the Company's prior written consent.
16.6 Disclaimer of AI Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY EXPRESSLY DISCLAIMS ALL LIABILITY FOR ANY LOSS, DAMAGE, OR HARM ARISING FROM YOUR RELIANCE ON AI-GENERATED CONTENT, INCLUDING BUT NOT LIMITED TO INACCURATE PROPERTY INFORMATION, ERRONEOUS MARKET ANALYSIS, OR INCORRECT LEGAL OR FINANCIAL SUMMARIES. THE COMPANY IS NOT RESPONSIBLE FOR THE OUTPUTS OF THIRD-PARTY AI PROVIDERS AND DOES NOT WARRANT THAT AI FEATURES WILL BE AVAILABLE, ACCURATE, OR FIT FOR ANY PARTICULAR PURPOSE.
17. API Access
17.1 API Availability
The Company may make available an application programming interface ("API") to registered Agents and Developers for the purpose of integrating the Platform's lead management and listing functionality with third-party customer relationship management (CRM) systems and other authorised tools. Access to the API is subject to the applicable Agent Agreement or Developer Agreement and requires prior written authorisation from the Company.
17.2 Permitted Use of API
Authorised API users may use the API solely for the following purposes:
Receiving and processing Lead data transmitted by the Platform to the Agent's or Developer's designated CRM or messaging system;
Synchronising Listing data between the Agent's or Developer's internal systems and the Platform, subject to the Company's prior written approval;
Configuring automated notifications and workflow integrations in connection with the Agent's or Developer's use of the Platform.
17.3 Prohibited API Uses
Authorised API users must not:
Use the API to extract, aggregate, or republish data from the Platform for any purpose other than those described in Section 17.2;
Reverse-engineer, decompile, or otherwise attempt to derive the source code or underlying architecture of the API or the Platform;
Share, resell, sublicense, or otherwise transfer API access credentials to any third party;
Use the API in any manner that places an unreasonable or disproportionate load on the Platform's infrastructure;
Use the API to collect or process personal data of Buyers in a manner inconsistent with the Company's Privacy Policy or applicable data protection law.
17.4 Responsibility for Third-Party Integrations
The Agent or Developer is solely responsible for the security, functionality, and compliance of any third-party system connected to the Platform via the API, including any CRM, messaging platform, or automation tool. The Company assumes no liability for any data breach, data loss, or unauthorized access arising from the Agent's or Developer's use of third-party integrations. The Agent or Developer must ensure that any third-party provider to whom Lead data is transmitted via the API is bound by equivalent data protection obligations.
17.5 Suspension of API Access
The Company reserves the right to suspend or permanently revoke API access at any time if it determines, in its sole discretion, that the API is being used in violation of these Terms, the applicable Agent Agreement or Developer Agreement, or any applicable law. Suspension of API access does not affect the Agent's or Developer's other rights and obligations under their respective Agreement.
18. Third-Party Links and Services
The Platform may contain links to third-party websites, services, or resources. The Company is not responsible for the content, accuracy, or practices of any third-party website or service. The inclusion of any link does not imply endorsement by the Company of the linked website or service. Your use of third-party websites is subject to the terms and privacy policies of those websites.
19. Business Asset Transactions
In the event of a merger, acquisition, reorganisation, sale of all or substantially all of the Company's assets, or other similar corporate transaction to which the Company is a party, your personal data and account information may be transferred to the acquiring entity or successor as part of that transaction. The Company will make reasonable efforts to notify registered Users by email or by posting a notice on the Platform prior to the completion of any such transaction where it involves a material change in how your personal data is used or who controls it. Your continued use of the Platform following any such transaction constitutes your acceptance of the privacy practices of the successor entity, subject to any updated privacy policy published by that entity.
20. Force Majeure
The Company shall not be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay is caused by circumstances beyond the Company's reasonable control, including but not limited to acts of God, natural disasters, acts of government, war, civil unrest, epidemics, pandemics, cyberattacks, or failures of third-party infrastructure providers.
21. Severability
If any provision of these Terms of Use is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or severed from these Terms if modification is not possible, and the remaining provisions shall continue in full force and effect.
22. Entire Agreement
These Terms of Use, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and DealsGrid LLC with respect to your use of the Platform as a Buyer or general User, and supersede all prior agreements, understandings, and representations relating to the same subject matter. Agents and Developers are additionally subject to their respective Agreements as described in Section 6.
